Biography

From an early age, Tom knew he wanted to become a lawyer, and his specific desire to represent businesses began to take shape during his undergraduate years at Miami University’s Farmer School of Business in Oxford, Ohio, and his study of business-related classes at The Ohio State University Moritz College of Law in Columbus, Ohio.

Today, Tom’s practice primarily involves corporate and commercial transactional work for various size companies, including entity formation, contract review and negotiations, mergers and acquisitions, succession planning, and employment matters.  In addition, he provides services to many lending institutions on real estate financing and other collateralized transactions, and provides loan collection and work-out services to such clients.  He also provides real estate and estate planning services to individual clients.

Tom and his wife reside in Sidney with their three sons.  When not working, Tom can usually be found at a high school sporting event involving one or more of his sons.  On occasion, he has been known to slip in a round a golf when the opportunity presents itself.

Representative Matters

  • Represented clients in the sale of stock in a large, family-owned corporation in the materials handling sector to a multi-national, publicly traded corporation.
  • Represented clients in the sale of stock in a corporation in a multi-state trucking operation to a national, publicly traded corporation.
  • Represented lending institution client in various asset-based financing transactions to a large privately-held, multi-national corporation.
  • Represented lending institution clients in construction financing of various hotels in and around Ohio.
  • Assisted client negotiate leases with various landlords in Michigan to establish large retail establishments and warehouses in Grand Rapids and Kalamazoo.
  • Represented lending institution client with collection efforts involving trailer parks in five Ohio counties, including the appointment of a receiver to handle the management and ultimate divestiture of the parks.
  • Represented court-appointed receiver in the management and ultimate divestiture of a large produce-growing facility in Wapakoneta, Ohio.
  • Represented national specialty foods manufacturer with day-to-day business transactions, including employment matters and review and negotiation of co-packer agreements and sales contracts to customers.
